Acceptance of Terms

These Terms of Service ("Terms") govern your use of the website and services provided by Essential Tech LLC ("Essential Tech," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our website or services.

Description of Services

Essential Tech LLC provides IT consulting, AI automation, and managed social media advertising services to small businesses. The specific scope, deliverables, timeline, and cost of any engagement are defined in a separate written agreement or statement of work executed between you and Essential Tech. In the event of a conflict between these Terms and a signed engagement agreement, the engagement agreement controls.

Client Responsibilities

You agree to provide accurate and timely information, access to systems and accounts as reasonably required, and timely decisions necessary for us to perform the agreed work. You are responsible for the accuracy of any content, footage, or materials you provide for advertising campaigns, and for ensuring you hold the rights to use them. Delays caused by unavailable information or access may affect project timelines.

Payment Terms

Fees, payment schedule, and invoicing terms are specified in your engagement agreement. Unless otherwise stated, invoices are due within thirty (30) days of the invoice date. Late payments may accrue interest at the maximum rate permitted by law. We may suspend services for accounts more than thirty (30) days past due.

Intellectual Property

Upon full payment of all amounts owed for an engagement, you own the documentation, configurations, and deliverables specifically created for you, subject to any third-party licenses for tools or platforms used. We retain ownership of our pre-existing methods, templates, frameworks, and intellectual property developed before or independently of your engagement. You grant us a license to use your name and logo for reference and marketing purposes unless you notify us otherwise in writing.

Confidentiality

We treat information you share with us about your business, systems, and operations as confidential and use it only to provide our services. We do not disclose confidential information to third parties except as required by law or as necessary to deliver the agreed services under appropriate protective measures. This obligation survives the end of any engagement.

Limitation of Liability

To the maximum extent permitted by law, Essential Tech LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of revenue, profits, data, or business, arising out of or related to our services. Our total aggregate liability for any claim shall not exceed the amount you paid us for the services giving rise to the claim in the twelve (12) months preceding the event.

Warranty Disclaimer

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific advertising results, as outcomes depend on factors outside our control, including market conditions and platform behavior.

Termination

Either party may terminate an engagement as provided in the engagement agreement. Upon termination, you remain responsible for payment of all fees for work performed up to the termination date. We will deliver any completed work and documentation owed to you subject to payment of all outstanding amounts.

Governing Law

These Terms and any dispute arising out of or related to them or our services shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of laws principles. You consent to the exclusive jurisdiction of the state and federal courts located in Maryland for any such dispute.
